
Bella Imagery Brand Ambassador Contract
This Brand Ambassador Contract ("Contract") is entered into between [Bella Imagery] (referred to as "Company"), and Student (referred to as "Brand Ambassador"), collectively referred to as "Parties".
In consideration of the mutual covenants and agreements contained herein, the parties agree as follows:
1) Term of Agreement: This contract will be effective as of July 1st, 2025 and will continue until May 31st, 2026, unless terminated earlier as specified in this agreement.
2) Brand Ambassador Roles and Responsibilities:
a) The Brand Ambassador agrees to represent and promote the Company's photography services in a positive and professional manner.
b) The Brand Ambassador will actively participate and engage in promoting the Company's services, including but not limited to social media posts, blog content, personal appearances, events, product demonstrations, and other agreed-upon promotional activities.
c) The Brand Ambassador will pose for high-quality photographs to be used for the Company for use in marketing materials, with proper attribution and permissions.
d) The Brand Ambassador will attend and actively participate in Company-organized events, workshops, or other photography-related activities.
e) The Brand Ambassador will maintain a professional and ethical image while promoting the Company.
f) The Brand Ambassador will provide feedback, suggestions, and reports on promotional activities as requested by the Company.
3) Compensation and Benefits:
a) The Company will compensate the Brand Ambassador as follows:
i) Discounted prints: The Brand Ambassador will be entitled to a 15% (fifteen percent) discount on prints of their own personal photography sessions with the Company.
ii) Free digital download: The Brand Ambassador will receive complimentary access to high-resolution digital downloads of all their personal photography sessions conducted by the Company.
b) In addition to the agreed-upon compensation, the Brand Ambassador will receive the following benefits:
i) The opportunity to make new friends who will support one another throughout their senior year and beyond.
ii) A Senior Session valued at $400.
iii) A Birthday Session valued at $350.
iv) A Holiday Session of their choice between July 2025 – May 2026, valued at $200.
v) A Prom session valued at $150.
vi) A 15% (fifteen percent) discount on a family session valued at $400, excluding discounts.
vii) Complimentary photos to download.
viii) A discount code in their name to be provided to their senior classmates.
ix) Opportunities for community service hours for college or scholarship applications can be found through our program.
x) A 15% (fifteen percent) discount on prints and products starting as low as $89.99
4) This is in reference to section 3-B-iv
a) The brand ambassador acknowledges and understands that the free holiday session received as part of their ambassadorship agreement cannot be considered as a substitute for the family session. Any family session requested by the brand ambassador and their family will be subject to a separate session, regardless of the occasion or event.
b) If at any point the family and the ambassador select the same holiday session, the family session will still have to be paid for; however, they will receive a 15% discount. During the family session, the brand ambassador and their family will be photographed together. Additionally, a separate time slot will be allocated for the brand ambassador alone to capture their own ideas and concepts for their holiday session.
5) Studio Usage and Payment:
a) Bella Imagery currently does not possess its own studio facilities. However, for indoor sessions, Bella Imagery utilizes the services of Focal Photography. Any session photographed at Focal Photography is rented out. Bella Imagery will cover the fees associated with one studio session for the brand ambassador during the duration of the contract. Any additional sessions that require the use of a studio, the fee will be the responsibility of the brand ambassador or guardian, booking and using the studio for any sessions beyond the one covered by Bella Imagery.
b) The exact fees for additional studio sessions will be determined by the studio of your choice, and the brand ambassador or parent will be responsible for negotiating and arranging the booking directly with preferred studio. Bella Imagery will provide necessary assistance and guidance to the brand ambassador in regard to booking a studio session at Focal Photography or any other suggested studio, but the financial responsibility will lie with the customer.
c) The Brand Ambassador shall be responsible for arranging and covering the costs associated with studio rental, including any additional props or services required outside of what Bella Imagery will provide.
d) If Brand Ambassador or Guardian is aware of another studio to utilize, the chosen studio must meet the standards and requirements set forth by the Company for quality, equipment availability, and suitability for photography purposes.
e) The Company suggests Focal Photography located at Capital Cir NW, Tallahassee as a preferred studio option due to its compatibility with the Company's needs and previous successful experiences. The charges for studio rental at Focal Photography usually range from $50 – $100for 1 hour.
f) The Brand Ambassador has the discretion to select an alternative studio, provided that it meets the Company's standards and is approved by Bella Imagery in advance.
g) The Brand Ambassador agrees to consult with Bella Imagery before finalizing any studio rental arrangements to ensure that the selected studio aligns with the Company's requirements, availability and budget constraints.
6) Intellectual Property:
a) The Brand Ambassador acknowledges that all intellectual property rights related to the Company's products/services, including but not limited to trademarks, copyrights, and trade secrets, belong solely to the Company.
b) The Brand Ambassador agrees not to use or disclose any confidential information obtained during the course of this agreement without the prior written consent of the Company.
7) Exclusivity and Conflicts of Interest:
a) During the term of this agreement, the Brand Ambassador agrees to exclusively represent the Company and refrain from promoting or endorsing products/services of direct competitors without the prior written consent of the Company.
b) The Brand Ambassador will promptly disclose any potential conflicts of interest that may arise during the term of this agreement.
8) Termination:
a) Either party may terminate this contract by providing written notice to the other party. Such termination shall be effective immediately after the receipt of written notice, unless otherwise agreed upon in writing between the Parties.
b) The Company may terminate this contract immediately and without notice if the Brand Ambassador fails to fulfill their obligations or breaches any terms of this agreement.
c) Upon termination, the Brand Ambassador shall cease all promotional activities and return any materials or property provided by the Company.
9) Use of Likeness and Testimonials:
a) The Brand Ambassador grants the Company the right to use their name, likeness, and testimonials for promotional and marketing purposes related to the Company's photography services.
b) The Brand Ambassador warrants that they have the necessary rights and permissions for the use of any photographs, videos, or other content provided to the Company.
10) Governing Law and Jurisdiction: This contract shall be governed by and construed in accordance with the laws of the State of Florida. Any disputes arising under or in connection with this contract shall be subject to the exclusive jurisdiction of the courts located in Tallahassee, Florida.
11) Entire Agreement: This contract constitutes the entire agreement between the Parties and supersedes any prior agreements or understandings, whether written or verbal, relating to the subject matter hereof.
By signing below, the Brand Ambassador acknowledges that they have read, understood, and agreed to all the terms and conditions outlined in this Brand Ambassador Agreement.
