Bella Imagery Brand Ambassador Agreement for Parent or Legal Guardian

This Brand Ambassador Agreement (“Agreement”) is entered into between Bella Imagery (referred to as “Company”), and [Parent or Legal Guardian’s] (referred to as the “Parent” or “Legal Guardian”), collectively referred to as "Parties".

In consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1) Appointment of Brand Ambassador: The Parent or Legal Guardian acknowledges that their child, referred to as the "Brand Ambassador," has been selected as a Brand Ambassador for Bella Imagery in accordance with the terms and conditions set forth in this Agreement.

2) Responsibilities and Commitments:

a) The Parent or Legal Guardian agrees to support and facilitate the Brand Ambassador's participation in promotional activities, including but not limited to photography sessions, social media promotions, and events, as outlined in the Brand Ambassador Contract for the Brand Ambassador.

b) The Parent or Legal Guardian acknowledges that the Brand Ambassador's participation is voluntary and that they will provide necessary transportation and supervision as required.

3) Consent and Release: The Parent or Legal Guardian grants full consent and authorization to Bella Imagery to use the Brand Ambassador's name, image, and likeness in connection with promotional materials, social media posts, website content, and any other marketing efforts of Bella Imagery during the term of this Agreement.

4) Studio Usage and Payment:

a) Bella Imagery currently does not possess its own studio facilities. However, for indoor sessions, Bella Imagery utilizes the services of rented studios throughout Tallahassee. Bella Imagery will cover the fees associated with one studio session for the brand ambassador during the duration of the contract. Any additional sessions that require the use of a studio, the fee will be the responsibility of the brand ambassador or guardian, booking and using the studio for any sessions beyond the one covered by Bella Imagery.

b) The exact fees for additional studio sessions will be determined by the rented studio, and the brand ambassador will be responsible for negotiating and arranging the booking directly with the rented studio. Bella Imagery will provide necessary assistance and guidance to the brand ambassador in regard to booking a studio session at any studio here in Tallahassee, but the financial responsibility will lie with the customer.

c) The Brand Ambassador or guardian shall be responsible for arranging and covering the costs associated with studio rental, including any additional props or services required outside of what Bella Imagery will provide.

d) If Brand Ambassador or Guardian is aware of another studio to utilize, the chosen studio must meet the standards and requirements set forth by the Company for quality, equipment availability, and suitability for photography purposes.

e) The company suggests Focal Photography located at Capital Cir NW, Tallahassee as a preferred studio option due to its compatibility with the Company's needs and previous successful experiences. The charges for studio rental at Focal Photography usually range from $50 – $100 for 1 hour.

f) The Brand Ambassador has the discretion to select an alternative studio, provided that it meets the Company's standards and is approved by Bella Imagery in advance.

g) The Brand Ambassador or guardian agrees to consult with Bella Imagery before finalizing any studio rental arrangements to ensure that the selected studio aligns with the Company's requirements, availability and budget constraints.

5) Indemnification: The Parent or Legal Guardian agrees to indemnify and hold Bella Imagery, its officers, directors, employees, and affiliates harmless from any claims, demands, liabilities, costs, or expenses (including reasonable attorney’s fees) arising out of or in connection with the Brand Ambassador's participation in promotional activities, including but not limited to any third-party claims of defamation, infringement of intellectual property rights, or violation of any applicable laws or regulations. The parent or Legal Guardian shall bear sole responsibility for any actions or behavior of the Brand Ambassador during the term of this Agreement.

6) Term and Termination:

a) This Agreement shall commence on July 1st, 2025 and continue until May 31st, 2026

b) Either party may terminate this Agreement upon written notice to the other party.

c) Upon termination, the Parent or Legal Guardian agrees to return any materials or products provided by Bella Imagery for the Brand Ambassador's promotional activities.

7) Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Tallahassee, Florida.

8) Entire Agreement: This Agreement constitutes the entire understanding between Bella Imagery and the Parent or Legal Guardian concerning the Brand Ambassador's participation as a Brand Ambassador, superseding any prior agreements or understandings, whether written or oral.

By signing below, the Parent or Legal Guardian acknowledges that they have read, understood, and agreed to all the terms and conditions outlined in this Brand Ambassador Agreement for Parent or Legal Guardian.
